  • Organizing scientific and research information
  • Enabling secure collaboration and analytics

We reserve the right to modify or discontinue services at any time.

4. User Accounts

To access certain features, you must create an account.

You agree to:

  • Provide accurate and current information
  • Maintain confidentiality of login credentials
  • Accept responsibility for all account activity

HSB is not liable for unauthorized access due to compromised credentials.

5. Data Ownership & Role

  • You retain ownership of all data uploaded
  • HSB acts as a service provider / data processor

You are responsible for:

  • Ensuring legal rights to upload and use data
  • Compliance with applicable laws, including healthcare regulations

6. HIPAA & Healthcare Compliance (If Applicable)

HSB is designed to support healthcare and life sciences data workflows.

  • If you upload Protected Health Information (PHI), you are responsible for:
    • Ensuring compliance with the Health Insurance Portability and Accountability Act
    • Executing a Business Associate Agreement (BAA) with HSB, if required

HSB does not assume liability for non-compliant use of PHI by users.

7. Acceptable Use

You agree NOT to:

  • Upload unlawful, harmful, or fraudulent content
  • Violate intellectual property rights
  • Attempt unauthorized access or disrupt systems
  • Introduce malware or harmful code

Violations may result in suspension or termination.

8. Intellectual Property

All platform content, including:

  • Software
  • Design
  • Branding

is owned by HSB or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the platform.

9. Data Security

We implement reasonable administrative, technical, and physical safeguards, including:

  • Encryption (in transit and at rest)
  • Access controls
  • Monitoring systems

However, no system is completely secure.

10. Third-Party Services

HSB may integrate with third-party services.

We are not responsible for:

  • Third-party data practices
  • External service availability

Use is at your own risk.

11. Fees & Payment

If applicable:

  • Services are billed on a subscription or contractual basis
  • Payments must be made on time
  • Failure to pay may result in suspension

All fees are non-refundable unless stated otherwise.

12. Confidentiality

Both parties agree to:

  • Protect confidential and proprietary information
  • Not disclose such information without consent

This obligation survives termination.

13. Disclaimer of Warranties

HSB is provided “as is” and “as available.”

We disclaim all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

We do not guarantee uninterrupted or error-free service.

14. Limitation of Liability

To the maximum extent permitted under U.S. law:

  • HSB shall not be liable for:
    • Indirect, incidental, or consequential damages
    • Loss of profits, data, or business opportunities

Our total liability shall not exceed the amount paid by you in the last 12 months.

15. Indemnification

You agree to indemnify and hold harmless HSB from claims arising out of:

  • Your use of the platform
  • Violation of these Terms
  • Breach of applicable laws or third-party rights

16. Termination

We may suspend or terminate access:

  • For violation of Terms
  • For legal or security reasons

Upon termination:

  • Access is revoked
  • Data may be deleted per retention policies

17. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the United States and the State of [Insert State, e.g., Delaware or California], without regard to conflict of law principles.

18. Dispute Resolution & Arbitration

Any disputes shall be resolved through:
